These Terms of Service constitute a legally binding agreement between you (“you”, “the Client”, or “your business”) and Centurio Solutions LLC (“we”, “us”, or “our”), a North Carolina limited liability company based in Charlotte, North Carolina.
By using our website, booking a consultation, or entering into a service agreement, you confirm that you have read, understood, and agree to these Terms in their entirety. If you do not agree to these Terms, you must not use our services. Use of our services constitutes acceptance regardless of whether you have signed a separate service agreement.
These Terms apply to all services provided by Centurio Solutions, including but not limited to AI receptionist services, website design and development, CRM and workflow automation setup, and related digital support services. Where a signed service agreement exists between the parties, that agreement governs to the extent of any direct conflict with these Terms; in all other respects these Terms apply in full.
Centurio Solutions offers the following services to small and growing businesses:
The specific scope of services provided to any individual client will be agreed upon in writing prior to the commencement of work, either through a proposal, statement of work, or service agreement. Centurio Solutions’ obligations are limited to the services expressly described in that written scope. No implied services, deliverables, or outcomes beyond the agreed scope are created by these Terms or by any prior communications.
Our AI receptionist service is designed to answer inbound calls on behalf of your business, capture lead information, qualify callers, and book appointments according to your configured settings.
Upon onboarding, we will work with you to configure the AI system to reflect your business, services, tone of voice, and booking or qualification flows. You are responsible for reviewing and approving the AI configuration before it is deployed. Approval of the configuration by the client constitutes acceptance that the system is set up in accordance with the client’s requirements. Any issues identified after deployment that relate to the approved configuration are the client’s responsibility to flag for remediation.
While our AI system is designed to handle calls professionally and accurately, no AI system is infallible. The AI operates based on the information and instructions provided during configuration. Complex, unusual, or highly technical queries may be handled differently than anticipated. Centurio Solutions does not warrant that every call will be handled without error and expressly disclaims liability for outcomes arising from AI call handling limitations, misunderstandings, or edge cases not covered by the approved configuration.
You agree to monitor AI performance and notify us of any issues so that we may update or refine the configuration accordingly. Centurio Solutions will make reasonable efforts to address reported issues in a timely manner.
Calls handled by the AI system may be logged, recorded, and/or transcribed for quality assurance, service improvement, and handover to your team. You are solely responsible for ensuring that your business complies with all applicable laws regarding call recording and caller notification in your jurisdiction, including but not limited to North Carolina General Statute § 15A-287 and applicable federal wiretapping statutes. Centurio Solutions expressly disclaims all liability arising from the client’s failure to comply with such laws.
AI receptionist services are provided on a monthly subscription basis. Subscription fees are billed in advance and are subject to the pricing plan selected at the time of sign-up. The first month is charged at signing, together with the one-time setup fee (unless waived under the Website + AI bundle), and each later month is charged in advance every 30 days from the client’s own signup date (each client’s billing date is the day they signed up, not the 1st of the month). Fees are not prorated for partial periods, including when a plan is started, changed or canceled. Each plan’s included minutes apply to that 30-day billing period; unused minutes do not roll over. Overages, upgrades, or changes to your plan must be discussed and confirmed with our team in writing prior to taking effect.
Where Centurio Solutions has been engaged to design, build, or deliver a website, landing page, or sales funnel, the following terms apply:
The specific pages, features, and functionality to be delivered will be agreed upon in writing prior to the project commencing. Any features or pages not included in the agreed scope will be treated as additional work and may be subject to additional fees. Centurio Solutions is not obligated to perform work outside the agreed scope without a written change order.
We will provide design drafts or previews at agreed milestones. You will have the opportunity to review and provide feedback. Design and structural decisions made by Centurio Solutions will be guided by best practices for conversion, usability, and brand consistency, taking into account your brief and feedback. Centurio Solutions retains creative discretion within the parameters of the agreed brief.
Before any payment, Centurio Solutions may prepare a free preview of a proposed website. The free preview consists of the homepage, built with the client’s logo, colors and real business information and working on mobile and desktop, plus one sample section (for example, services). The remaining pages of the full website are built only after the client pays (in full or the first installment of the payment plan). The free preview creates no obligation for either party, and its design remains the property of Centurio Solutions unless and until the website is purchased.
The client buys, owns and renews the client’s own domain name, registered in the client’s own name. If the client does not have a domain, Centurio Solutions may help the client buy one during the setup call, or may buy it on the client’s behalf at cost, registered in the client’s name and billed to the client without markup. Domain renewals are the client’s responsibility. Centurio Solutions does not own or hold client domains, and the client keeps its domain if services end for any reason.
Each project includes a reasonable number of revision rounds as agreed in your project scope. Revision rounds are intended for adjustments within the agreed brief — not for significant changes to scope, direction, or structure. Changes that substantially alter the scope of work will be treated as a change order and are subject to additional fees, which will be communicated and agreed upon in writing before implementation.
Written approval of any design stage or final deliverable by the client constitutes acceptance of that deliverable. Centurio Solutions shall not be liable for any defects or dissatisfaction identified after a formal written approval has been given, except where those defects were not reasonably discoverable at the time of approval.
If you choose to host the website yourself, Centurio Solutions will provide a free handover package once the website has been paid in full: the site files (zip) and a short bilingual (Spanish/English) guide to uploading them. You are then responsible for hosting renewals, security and SSL, backups, keeping the site online (uptime), and keeping the domain registered in your name. An optional one-time “Setup on your host” service is available for $99, paid in full and not eligible for installments: we upload the site to your hosting account, connect your domain and turn on SSL. Changes requested after the handover are billed separately and are not covered by a Care plan.
Where your website is built on a third-party platform, the ongoing use of that platform is subject to that platform’s own terms of service and any associated subscription costs, which are your responsibility unless explicitly agreed otherwise in writing.
All project work is delivered based on the agreed scope of work defined at the start of the engagement. Centurio Solutions reserves the right to:
Scope changes requested after project commencement may affect delivery timelines and fees. All additional scope must be documented and agreed upon in writing before work begins. Verbal instructions, emails, or chat messages do not constitute a binding change order unless confirmed in writing by an authorized representative of Centurio Solutions.
To enable Centurio Solutions to deliver services effectively, you agree to the following obligations. These are material terms of the engagement and Centurio Solutions’ ability to meet its own obligations is expressly conditioned on the client meeting these responsibilities.
Delays in project delivery caused directly by the client’s failure to meet these responsibilities shall not constitute a breach by Centurio Solutions and shall not entitle the client to any refund, credit, or damages claim. Centurio Solutions reserves the right to adjust project timelines proportionally to account for client-caused delays, and to invoice for time spent waiting on client responses where this materially affects resource allocation.
We aim to deliver all services within the timelines agreed at the start of the engagement. Estimated timelines are provided in good faith based on the agreed scope and the timely provision of required materials and approvals by the client. Estimated timelines are not guarantees of delivery and do not form the basis of a claim for damages unless expressly stated as a firm contractual deadline in a written service agreement.
Centurio Solutions is not liable for delivery delays caused by:
We will communicate proactively if any delays are anticipated on our side and will work with you to agree on a revised delivery plan.
Payment terms will be specified in the relevant proposal, quote, or service agreement. Unless stated otherwise in writing:
Any one-time website build may, at the client’s option, be paid in full or in three (3) installments under the following payment plan:
Where the price does not divide evenly, installments are rounded to whole dollars and the final installment(s) are adjusted so the three amounts equal the total price exactly (for example, $497 = $165 + $166 + $166).
By choosing a payment plan, the client authorizes Centurio Solutions to charge the card or payment method on file automatically for each installment when its milestone is reached. Payments are processed through our GoHighLevel payment system connected to Stripe. Payment-plan clients may pay the remaining balance in full at any time without penalty.
The website will not be published, and the website files and related assets will not be transferred to the client, until the final installment has been received and has cleared. If a scheduled installment fails or is declined, work on the project pauses until that installment is paid, and the delivery timeline is extended accordingly. Prolonged non-payment is handled under the Late Payments and Termination provisions of these Terms.
Each installment is non-refundable once it is paid. For example, if the client has paid two (2) of the three (3) installments and then cancels or stops the project, the two installments already paid are not refundable. The payment plan applies to one-time website builds only; AI receptionist setup fees are always charged in full at the start and cannot be paid in installments.
All fees are exclusive of applicable taxes unless stated otherwise. You are solely responsible for any sales, use, or other taxes applicable to your engagement in your jurisdiction.
For billing queries or disputes, please contact us at: centuriosolutions@gmail.com. Billing disputes must be raised in writing within thirty (30) days of the invoice date; disputes raised after this period will not be accepted.
Centurio Solutions makes no guarantee, warranty, or representation — express, implied, or statutory — that its services will produce any specific business outcome. This disclaimer is a material, bargained-for term of any service agreement and is acknowledged by the client upon engagement.
Centurio Solutions specifically disclaims any guarantee of:
Results will vary — and may vary significantly — depending on your industry, market conditions, competitive landscape, offer quality, team performance, pricing strategy, and other factors entirely outside Centurio Solutions’ control. The client assumes full and sole responsibility for their business outcomes.
Our services are designed and delivered to professional standards and with the intent to positively impact your business. No warranty, express or implied, is made that our services will achieve any specific commercial result.
Any case studies, testimonials, or performance examples referenced in our marketing materials are provided for illustrative purposes only. They represent results achieved in specific circumstances by specific clients and are not a representation or guarantee of similar results for any other client. Past performance is not indicative of future results. Reliance on marketing materials as a basis for entering into a service agreement does not create any contractual obligation on Centurio Solutions to achieve comparable outcomes.
To deliver our services, Centurio Solutions uses a range of third-party software platforms across the following categories: CRM and pipeline management, AI voice and telephony, workflow automation, scheduling and calendar management, website hosting, payment processing, and analytics. The specific platforms used may change over time at Centurio Solutions’ discretion as part of ongoing service improvement. Each platform operates independently under its own terms of service, pricing structure, and data policies.
You acknowledge and expressly agree that:
We will make reasonable efforts to notify you of any material changes to our service infrastructure that we become aware of and that are likely to affect your service delivery.
You retain ownership of all content, brand assets, copy, and materials you provide to us. By providing these materials, you grant Centurio Solutions a non-exclusive, royalty-free license to use them solely for the purpose of delivering your agreed services. You represent and warrant that you have full rights to grant this license and that no materials you provide infringe the intellectual property rights of any third party. You shall indemnify Centurio Solutions against any claims, losses, or damages arising from a breach of this warranty.
Upon receipt of full payment for a project, ownership of the final delivered work product (such as a completed website, landing page, or funnel) transfers to you, unless stated otherwise in the project agreement. No ownership transfer occurs until all outstanding fees for the project have been paid in full. Centurio Solutions reserves the right to withhold delivery of final files or access credentials until payment is received.
Centurio Solutions retains full ownership of any proprietary templates, frameworks, methodologies, systems, code libraries, or underlying technology used in the delivery of services that are not specific to your project. These assets are licensed to you for use within your delivered work product but may be reused by Centurio Solutions for other clients. This license terminates if the client fails to pay fees owed.
Unless you request otherwise in writing prior to project commencement, Centurio Solutions reserves the right to reference your project in our portfolio, case studies, or marketing materials after delivery. We will not disclose confidential business information, financial data, or client-specific metrics without your prior written consent.
By using Centurio Solutions services, you agree not to:
Centurio Solutions reserves the right to suspend or terminate services immediately and without notice upon becoming aware of any violation of this acceptable use policy. No refund will be issued for any prepaid fees in the event of termination for cause under this section.
To the fullest extent permitted by the laws of the State of North Carolina and applicable federal law, Centurio Solutions provides all services on an “as is” and “as available” basis, without any warranty of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
Under no circumstances shall Centurio Solutions, its owners, employees, contractors, or agents be liable to you or any third party for any of the following losses or damages, regardless of whether such losses were foreseeable or whether Centurio Solutions was advised of their possibility:
This exclusion applies whether the claim arises in contract, tort (including negligence), statute, or any other legal theory, and applies even if Centurio Solutions has been informed of the possibility of such damages.
Centurio Solutions’ total aggregate liability to the client for any and all claims arising under or in connection with these Terms or any service agreement — whether in contract, tort, statute, or otherwise — shall not exceed the total fees actually paid by the client to Centurio Solutions in the three (3) calendar months immediately preceding the event giving rise to the claim. This cap applies regardless of the number of claims made, the theories of liability asserted, or the form of action.
Centurio Solutions delivers services using third-party software platforms that operate independently. The client expressly acknowledges and agrees that third-party platform outages, pricing changes, or feature discontinuation do not constitute a breach of any service agreement by Centurio Solutions and do not entitle the client to any refund, credit, or damages claim. The client assumes full responsibility for evaluating and accepting the risks associated with third-party platforms used in connection with our services.
By engaging Centurio Solutions, the client confirms that they have read and understood this Section 13 in its entirety, that the limitations herein were clearly and conspicuously disclosed prior to the formation of any service agreement, and that these limitations constitute a material, bargained-for term of the contract. The fees charged by Centurio Solutions reflect, in part, the allocation of risk established in this section. The client acknowledges that Centurio Solutions would not enter into any service agreement on the terms offered without these limitations.
Nothing in these Terms limits or excludes Centurio Solutions’ liability for: (i) fraud or fraudulent misrepresentation; (ii) gross negligence resulting in death or personal injury; or (iii) any other liability that cannot lawfully be excluded or limited under North Carolina law or applicable federal law.
Monthly subscription services may be canceled at any time by providing written notice to Centurio Solutions. Cancellations take effect at the end of the current billing period. Fees already paid for the current billing period are non-refundable under any circumstances, including where the client has not fully utilized the service during that period. Setup fees are non-refundable. On cancellation, the client keeps its own domain name.
For project-based work, cancellations after project commencement will result in fees being due for all work completed up to the date of cancellation, plus any non-recoverable costs already incurred. The applicable portion of fees will be calculated by Centurio Solutions based on the stage and volume of work completed, and this determination shall be final in the absence of manifest error.
Centurio Solutions reserves the right to suspend or terminate services immediately and without liability upon written notice if:
In the event of termination for any reason, we will make reasonable efforts to provide you with access to your data and any delivered work product for which full payment has been received. Centurio Solutions has no obligation to provide access to work product for which outstanding fees remain unpaid at the time of termination.
These Terms of Service are governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to its conflict of law principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to this agreement.
Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina. By engaging Centurio Solutions, you irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in Mecklenburg County, NC.
Prior to initiating any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of not less than thirty (30) days following written notice of the dispute from one party to the other. This requirement does not apply where a party seeks emergency injunctive or other equitable relief to protect its rights pending resolution.
If you are located in a different jurisdiction, you agree that disputes will be resolved under North Carolina law and in Mecklenburg County courts, unless otherwise required by mandatory applicable law in your region.
Centurio Solutions reserves the right to update or modify these Terms of Service at any time. When we make material changes, we will update the “Last Updated” date at the top of this page.
For active clients on ongoing services, we will provide reasonable notice of material changes via email to the address on file. Your continued use of our services following the effective date of any changes constitutes your unconditional acceptance of the updated Terms.
If you do not agree to the updated Terms, you must discontinue using our services and notify us of your intention to cancel within fourteen (14) days of receiving notice of the change. Continued use after this period will be deemed acceptance.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The parties agree that the remaining provisions shall continue in full force and effect and shall be interpreted to give effect to the original intent of the parties to the greatest extent possible.
Centurio Solutions shall not be liable for any failure or delay in performing its obligations under these Terms or any service agreement where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, government action or regulation, civil unrest, war, terrorism, fire, flood, power outages, internet infrastructure failures, or third-party platform outages.
In the event of a force majeure event, Centurio Solutions will notify you as soon as reasonably practicable and will use reasonable efforts to resume performance as soon as the event has ended or a workaround is available. If a force majeure event continues for more than sixty (60) consecutive days, either party may terminate the affected service agreement on written notice without liability, other than for fees owed for services already performed.
These Terms, together with any executed service agreement, proposal, or statement of work between the parties, constitute the entire agreement between you and Centurio Solutions with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
No waiver by Centurio Solutions of any breach or default shall be deemed a waiver of any subsequent breach or default. Centurio Solutions’ failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
By providing your mobile number and giving consent (for example, by checking the consent box on our website contact form, texting us first, or agreeing in writing), you agree to receive calls and text messages from Centurio Solutions LLC about your inquiry and our services, including replies, appointment and demo scheduling and reminders, onboarding, account, and service updates.
Where Centurio Solutions LLC sends text messages to a client’s customers on the client’s behalf (for example, appointment reminders or missed-call text-back), the client is responsible for obtaining and documenting any consent required by law and by carrier rules (including A2P 10DLC registration requirements), and for honoring opt-out requests. Our systems are configured to process STOP and HELP replies automatically.
